Agreement to Terms: These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Calai Health. ("Calai Health," "Company," "we," "us," or "our") regarding your access to and use of the Calai Health application, website at www.calai.health, and all related services (collectively, the "Service").

By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Service.

Service Description: Calai Health provides an AI-native digital platform offering real-time coaching, educational resources, and community support for individuals with disordered eating. Our Service utilizes principles of Dialectical Behavior Therapy and is designed to support users in their recovery journey.

Important: Calai Health is not a healthcare provider and does not provide medical advice, diagnosis, or treatment. Our Service is designed to complement, not replace, professional medical care.

Eligibility and Registration

Age Requirements

  • You must be at least 18 years old to create an account

  • Our Service is intended for adults with eating disorders

  • If you are under 18, you may only use the Service under the direct supervision of a parent or guardian

 

Account Registration

  • You must provide accurate, current, and complete information during registration

  • You are responsible for maintaining the confidentiality of your account credentials

  • You must immediately notify us of any unauthorized use of your account

  • One person may maintain only one account

Acceptable Use

Permitted Use: You may use the Service only for

  • Personal, non-commercial purposes related to supporting your recovery from disordered eating

  • Accessing educational resources and coaching content

  • Participating in community discussions and support groups

  • Communicating with Dr. Dany and other authorized personnel

Prohibited Activities: You may not

  • Use the Service for any unlawful purpose or in violation of these Terms

  • Impersonate any person or entity or misrepresent your affiliation

  • Upload or transmit harmful, threatening, abusive, harassing, or defamatory content

  • Interfere with or disrupt the Service or servers connected to the Service

  • Attempt to gain unauthorized access to any part of the Service

  • Use automated means to access the Service without our written permission

  • Share your account credentials with others

  • Use the Service to provide medical advice or treatment

  • Upload content containing viruses, malware, or other harmful code

Content and Intellectual Property

Our Content: All content provided through the Service, including but not limited to text, graphics, logos, videos, software, and educational materials, is owned by or licensed to Calai Health and is protected by intellectual property laws.

 

Your Content: You retain ownership of content you submit to the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such content solely for the purpose of providing and improving the Service.

  • Respect the privacy and rights of others

No Medical Warranties: TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES REGARDING THE SERVICE, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Educational Purpose: All content is provided for educational and support purposes only and should not replace professional medical care.

Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY LAW, CALAI HEALTH AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR

  • Any indirect, incidental, special, consequential, or punitive damages

  • Any loss of profits, data, use, goodwill, or other intangible losses

  • Any damages resulting from your use or inability to use the Service

  • Any damages arising from reliance on content provided through the Service

 

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

Indemnification: You agree to defend, indemnify, and hold harmless Calai Health and its affiliates, officers, directors, employees, and agents from any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of any rights of a third party

  • Any content you submit to the Service

 

CALIFORNIA RESIDENTS: IF YOU ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE SECTION 1542, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT IF KNOWN BY HIM WOULD HAVE MATERIALLY AFFECTED HIS SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

 

Termination

Termination by You: You may terminate your account at any time by contacting us or using the account settings in the Service.

​

Termination by Us: We may terminate or suspend your access to the Service immediately, without prior notice, for

  • Violation of these Terms

  • Inappropriate behavior toward other users or staff

  • Any conduct that we determine to be harmful to the Service or other users

 

Effect of Termination: Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive.

Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

Geographic Limitations: The Service is intended for use in the United States. If you access the Service from outside the United States, you do so at your own risk and are responsible for compliance with local laws.

Dispute Resolution

 

Informal Resolution: Before filing any formal dispute, you agree to contact us first to seek informal resolution.

 

Binding Arbitration: Any dispute arising from these Terms or your use of the Service will be resolved through binding arbitration administered by the American Arbitration Association, rather than in court, except for small claims court actions.

 

Class Action Waiver: You agree to resolve disputes on an individual basis only and waive any right to participate in class action lawsuits.

General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Calai Health regarding the Service.

Governing Law: These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

No Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.

 

Assignment: You may not assign your rights under these Terms. We may assign our rights to any affiliate or successor in interest.
